Shareholders are encouraged to consult with their personal tax advisors as to their specific tax treatment of Douglas Emmett dividends.

As noted above, the common stock dividend paid on January 13, 2012, with a record date of December 30, 2011, has been allocated entirely to 2012.  The common stock dividend of $0.18 per share that will be paid on January 15, 2013, with a record date of December 31, 2012, will be allocated entirely to 2013.
